End User License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single legal entity, hereafter "Licensee") and the Licensor of the What's Up software ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA.

1. Grant of License

Subject to continued compliance with this EULA, Licensor grants Licensee a non-exclusive, non-transferable, revocable license to install and use one (1) copy of the Software on one (1) Mac device per purchased License Key. A 3-day trial license is granted to evaluate the Software without payment.

2. License Key and Device Binding

Each paid License Key binds to one Mac device for the life of that device. Self-service rebinding to a different Mac is not supported; if Licensee wishes to use the Software on an additional or replacement Mac, Licensee must purchase an additional License Key. In the event of a Mac being permanently lost, destroyed, or transferred, Licensor may, at its sole discretion, manually unbind the original Key upon request. Sharing, publishing, reselling, or otherwise transferring a License Key is strictly prohibited and will result in immediate revocation without refund.

3. Restrictions

Licensee shall not, and shall not authorize any third party to:

(a) reverse engineer, decompile, or disassemble the Software; (b) modify, adapt, translate, or create derivative works based on the Software; (c) bypass, disable, or interfere with the license verification mechanism; (d) redistribute, sell, rent, lease, or sublicense the Software; (e) remove or alter any proprietary notices.

4. Ownership

The Software is licensed, not sold. All rights, title, and interest in and to the Software (including all intellectual property rights) remain with the Licensor.

5. Updates

The Licensor may, at its discretion, release updates, bug fixes, and new features to the Software. All such updates to What's Up are provided at no additional cost for the life of the License Key. If the Licensor ever releases a materially different, separately-branded product (i.e. a new application, not an update to What's Up), that product is outside the scope of this license.

6. Data Privacy

The Software processes data on-device only, except for (i) license activation calls to the Licensor's verification server and (ii) update checks against the public release host. Refer to the Privacy Policy at /privacy for details.

7. Termination

This EULA is effective until terminated. It terminates automatically if Licensee breaches any of its terms. Upon termination, Licensee must cease all use of the Software and delete all copies from Licensee's devices.

8. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE. THE LICENSOR'S TOTAL CUMULATIVE LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE.

10. Governing Law

This EULA is governed by the laws of the People's Republic of China, without regard to its conflict-of-laws rules. Any dispute arising from this EULA shall be submitted to the courts with jurisdiction over Licensor's principal place of business.
