This End-User License Agreement ("EULA") is a legal agreement between you and the Licensor of the What's Up software ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA.
Subject to continued compliance, Licensor grants Licensee a non-exclusive, non-transferable, revocable license to install and use one copy of the Software on one Mac per purchased License Key. A 3-day trial license is granted for evaluation.
Each paid License Key binds to one Mac for the life of that device. Self-service device rebinding is not provided — to use the Software on a different or additional Mac, Licensee must purchase an additional License Key. If a bound Mac is permanently lost, destroyed, or transferred, Licensor may, at its discretion, unbind the original Key upon request. Sharing, publishing, reselling, or transferring a License Key is prohibited and results in immediate revocation without refund.
Licensee shall not: (a) reverse engineer, decompile, or disassemble the Software; (b) modify, adapt, translate, or create derivative works; (c) bypass, disable, or interfere with license verification; (d) redistribute, sell, rent, lease, or sublicense the Software; (e) remove or alter any proprietary notices.
The Software is licensed, not sold. All rights, title, and interest remain with the Licensor.
Every update to What's Up is provided at no additional cost for the life of your License Key. A separately-branded, materially different product (a new app — not an update to What's Up) is outside the scope of this license.
The Software processes data on-device only, except for license activation calls and update checks. See the Privacy Policy at /en/privacy.
This EULA terminates automatically upon breach. Upon termination, Licensee must cease all use and delete all copies of the Software.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY IS CAPPED AT THE AMOUNT PAID.
Governed by the laws of the People's Republic of China. Disputes shall be submitted to courts with jurisdiction over Licensor's principal place of business.
